These terms govern subscription to, billing of and termination of the Vigicap service subscription. They supplement the general terms of use, which govern use of the service.
1. Purpose and scope
These terms apply to any subscription to the Vigicap service taken out by a professional acting for the purposes of their business. The service is not open to consumers. They prevail over any purchasing terms of the customer, save written agreement to the contrary.
2. Subscription and trial period
The subscription is taken out online. It includes a free trial period of fourteen (14) days, during which no amount is charged and the subscription may be terminated free of charge. No payment method is required to open the trial: the customer may register a card at any time during the trial and, failing that, the subscription ends as of right at the end of the trial, with no invoice and no renewal. The trial is granted once per account; a subscription taken out after it has ended is invoiced immediately.
3. Prices
Prices are stated excluding VAT, in euros. The applicable value added tax is added at the rate in force. The price grid is published on the pricing page. The price of the plans is a flat fee: it does not depend on the number of clients monitored, and no amount is charged per client or per user — with the sole exception of the entry plan, identified in the price grid as billed by usage and governed by paragraph 3. Each plan carries a firm cap on active clients, stated in that grid; the Réseau plan is quoted on request.
The cap is firm and gives rise to no overage billing: once it is reached, the creation of a further client is refused; where a higher-priced plan exists in the grid, moving to it is offered with its exact amount before any confirmation; beyond the cap of the highest plan in the grid, the next step is handled by quote. Within a period, no sum greater than the price of the plan subscribed for is charged without a change of plan expressly accepted by the customer; any change of plan is prorated over the current period. An archived client leaves the active-client count and may be reactivated within the cap.
By way of exception to paragraphs 1 and 2, the entry plan is billed by usage: the unit price stated in the grid applies per active client per month, with a minimum of one active client — a workspace monitoring no client is therefore billed for one. The plan's cap remains firm and bounds the billing: beyond it, no further client can be created and no further amount is due. Any change in the number of clients is reflected on the next invoice, upwards as well as downwards, with no proration over the current period: adding a client gives rise to no additional charge before the renewal date, and archiving a client does not reduce an invoice already issued. Moving to a flat-fee plan remains possible at any time under the conditions of paragraph 2.
4. Billing and payment
The subscription is payable in advance, by charge to the registered payment method, according to the billing period chosen (monthly or annual). Payments are processed by Stripe; card details are entered in a form hosted by Stripe and do not pass through the provider's servers.
The subscription is tacitly renewed at each due date, for a period of the same duration, unless terminated under the conditions of article 8.
5. Late payment
Any sum unpaid on its due date bears interest, as of right and without prior formal notice, at the interest rate applied by the European Central Bank to its most recent refinancing operation, increased by ten (10) percentage points. A fixed indemnity of forty (40) euros for recovery costs is due as of right (art. L441-10 et D441-5 du code de commerce), without prejudice to additional compensation on supporting evidence.
6. Suspension for non-payment
In the event of persistent non-payment after a reminder, the provider may suspend access to the service after fifteen (15) days' notice given by email. Suspension deletes no data: the export remains accessible throughout its duration.
7. Price revision
The applicable prices are those of the grid in force at the subscription date. They are firm for the current subscription period — the month or the year already paid — and no revision applies retroactively to a period already invoiced.
The provider may change its price grid at most once per twelve (12) month period. Any revision is notified by email to the account's contact address at least sixty (60) days before its effective date, which may not fall earlier than the first renewal following the expiry of that period. The notification states the old price, the new price and the effective date.
A customer who does not accept the revision may terminate their subscription free of charge and without penalty up to the day before the effective date, from Administration → Billing or in writing to contact@vigicap.fr. Termination takes effect at the end of the current period, which remains invoiced at the previous price: the new price is never applied to them. Failing termination within that period, the revision is deemed accepted for subsequent periods.
The following do not constitute a price revision within the meaning of this article, and therefore do not open the right of termination above: variation in the applicable taxes, in particular the VAT rate, passed on as of right; and a change of plan or of billing period decided by the customer themselves.
8. Term and termination
The subscription is entered into for the period chosen and tacitly renewed. The customer may end it at any time from Administration → Billing; termination takes effect at the end of the current period, which remains due. An annual period already paid is not refunded pro rata: access is maintained until its end.
9. Reversibility
The customer has, at any time and without the provider's involvement, a complete export of their data and that of their clients. This export remains accessible throughout the subscription and during the suspension period provided for in article 6.
10. Liability
The provider's liability under the subscription is governed by article 10 of the general terms of use, which sets its cap and its exclusions.
11. Governing law and jurisdiction
These terms are governed by French law. The jurisdiction clause set out in article 13 of the general terms of use applies to them.
